Dangote’s Beneficial Ownership in Refinery to Remain at 84.34% After IPO
Despite a planned N2.15 trillion share sale in what is expected to be Africa’s largest public offering, Aliko Dangote’s beneficial ownership of Dangote Petroleum Refinery & Petrochemicals FZE (DPRP) will remain at 84.34%, rather than the 65.8% implied by his largest single shareholding vehicle.
An analysis of the company’s Initial Public Offering (IPO) prospectus dated September 7, 2026, shows that Dangote’s economic interest in the refinery is distributed across four separate corporate vehicles rather than concentrated in a single entity.
The vehicles include Dangote Oil Refining Company Limited (DORCL), Dangote Industries Limited (DIL) and Greenview Investment Company Limited (Greenview). While the three entities appear separately on the refinery’s share register, the prospectus indicates that they should be considered together when determining Dangote’s overall economic interest in the company.
This structure means that focusing solely on Dangote’s largest individual shareholding vehicle could significantly understate his effective beneficial ownership of the refinery following the proposed offer.
Only 3.30% Offered to the Public
The prospectus also shows that only 3.30% of the post-offer company will be available to the investing public.
A substantial portion of the proposed transaction has already been committed to Pan-African Refinery Investment SPV (Mauritius), formerly known as India Infra Buildco.
The investment vehicle agreed to subscribe for 1,038,961,038 shares valued at approximately US$400 million under a Subscription Commitment Letter dated August 28, 2026.
The arrangement further limits the portion of the refinery that will ultimately be available to new public investors through the IPO.
With Dangote retaining an 84.34% beneficial interest after the transaction, the proposed listing will leave the refinery overwhelmingly controlled by interests linked to the billionaire, even as the IPO seeks to broaden its shareholder base and establish the company as one of the largest listed entities on the Nigerian Exchange.
